Sale agreement

Last checked 19 October 2026 · Checked by the Property Centre content team

A sale agreement is the written contract between the buyer and seller of land or a house in Kenya, setting out the price, deposit, completion date and conditions such as Land Control Board consent. Contracts for land must be in writing, signed and witnessed. For agricultural land, the time to apply for board consent runs from the agreement.

What a sale agreement does

The sale agreement is the first binding document in most Kenyan land and house purchases. It comes after the buyer's searches and before the transfer, and it is usually drawn up by the seller's advocate and checked by the buyer's.

It must be in writing. The Law of Contract Act and the Land Act both say no one can sue on a contract to sell an interest in land unless it is in writing, signed by all the parties, and each signature is witnessed by someone present at the signing. A verbal deal, a receipt or a chain of text messages is not enough to enforce a land sale in court.

What it usually contains.

  • the parties, with ID or company details, and the exact parcel or LR number;
  • the price, the deposit, and how and when the balance is paid, often through the advocates or against a bank's undertaking;
  • the completion date and what each side hands over on completion: the original title, the signed transfer, consents, clearance certificates and vacant possession;
  • who pays which costs, such as stamp duty, valuation, registration and legal fees;
  • conditions, such as Land Control Board consent or the buyer getting a mortgage;
  • what happens if either side defaults.

The Law Society Conditions of Sale. Many Kenyan agreements say the sale is subject to the Law Society of Kenya Conditions of Sale, so far as they do not conflict with the agreement itself. These standard terms fill gaps the agreement leaves. Courts have applied them to hold that a party who wants to end the sale for the other side's delay must first serve a completion notice giving a final period to complete.

Agricultural land. Under the Land Control Act, a sale of agricultural land in a land control area is void unless the local Land Control Board consents. The application must be made within a fixed period after the agreement is made (see the figures box), and the High Court can extend that period. The Court of Appeal has read it as a deadline to apply, not to receive the consent. The Act's definition of agricultural land broadly covers land outside municipalities, townships and trading centres, so it matters for many plots in Kiambu, Machakos and Kajiado.

From agreement to transfer. After signing, the buyer pays the deposit and the seller's side gathers consents and clearances. The property is valued for stamp duty, which is charged on its value and must be paid before the transfer can be registered. Stamp duty is charged at a higher rate in municipalities and gazetted towns than elsewhere (see the figures box). On completion the balance is paid, the transfer is lodged at the land registry, and the buyer becomes the owner only once it is registered.

What to check

  • The parcel number in the agreement matches the title and your own official search.
  • The seller named is the registered owner, or shows written authority to sell, such as a power of attorney or letters of administration.
  • Every party has signed, and each signature is witnessed.
  • The deposit, who holds it until completion, and when it is released.
  • The completion date, what happens on default, and whether the Law Society Conditions of Sale apply.
  • For agricultural land: who applies for Land Control Board consent, and by when.
  • Who pays stamp duty, valuation, registration and legal fees.
  • When you get vacant possession or the keys.
  • That your own advocate has read it before you sign.

Risks to know

  • Pressure to pay the full price before a written agreement is signed, or to pay into an agent's personal account.
  • An agreement that names a different parcel number, or a plot "to be identified later".
  • No completion date, or a completion date that depends only on the seller.
  • A seller who will not let your advocate review the agreement.
  • Agricultural land where nobody has applied for board consent and the period is running out.
  • An agreement signed by only one side, or with no witnesses.

Questions

Does a land sale agreement need to be witnessed in Kenya?

Yes. To be enforceable in court, a contract to sell land must be in writing, signed by all parties, and each signature witnessed by someone present.

How long do I have to apply for Land Control Board consent after signing?

The application must be made within a fixed period from the date of the agreement; see the figures box. The High Court can extend it in some cases.

What are the Law Society Conditions of Sale?

Standard terms published by the Law Society of Kenya that many sale agreements adopt. They cover matters the agreement leaves out, such as completion notices when one side delays.

Who pays stamp duty when buying land in Kenya?

The sale agreement should say. The rates, which differ between towns and rural areas, are in the figures box.

Can I get my deposit back if the sale falls through?

It depends on the agreement's default terms and why the sale failed. Ask your advocate before you sign, and make sure the deposit is held by an advocate until completion.
